3.4. Age and Eligibility

By creating a Mealspace account, you affirm that you are at least 18 years old. If you are under 18, you may not use Mealspace without the consent and supervision of a parent or legal guardian. By using Mealspace, you represent and warrant that you meet these age requirements.

If you are creating a Mealspace account on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization or entity to these Terms. “You” in these Terms will refer to both the individual user and the organization or entity.

4. User Responsibilities

By using the Application, you agree to adhere to the following responsibilities to ensure a positive and collaborative environment for all users:

4.1. Original Content Submission and Copyright Compliance

When submitting content to Mealspace, including recipes, photos, comments, and other materials, you must ensure that you are the original creator of the content or have obtained all necessary permissions and rights to submit it to Mealspace. You expressly agree not to submit any content that infringes upon the intellectual property rights, including but not limited to copyright, trademark, or patent rights, of others.

4.4. Account Security

You are responsible for maintaining the security of your Mealspace account. Do not share your account credentials with others, and notify us immediately if you suspect any unauthorized access to your account.

5. Subscription and Premium Features

5.1. Free Access and Basic Features

Mealspace is offered as a free-to-use application, providing users with access to a range of features without any subscription fee. By using the free version of Mealspace, you acknowledge and agree to the terms outlined in these Terms of Service.

5.2. Subscription Plan

Mealspace offers a subscription plan that allows users to access additional premium features beyond the basic free version of the application. The subscription plan is available for a monthly fee, which will be clearly communicated to you before you subscribe.

5.3. Payment and Billing

5.4. Automatic Renewal

Subscriptions to Mealspace’s premium features are set to automatically renew unless you cancel your subscription before the end of the current billing period. You can manage your subscription and turn off auto-renewal in your account settings on the app store.

5.5. Changes to Subscription Plans

Mealspace reserves the right to modify, add, or remove features associated with the subscription plan or the free version of the application at any time, without advance notice. In the event of any changes to the subscription plan or features, you will have the option to continue with the modified plan or continue using the application under the new feature arrangement.

5.6. Refunds

Subscription fees are non-refundable, even if you stop using Mealspace’s premium features before the end of your billing period.

5.7. Termination of Subscription

Mealspace may terminate or suspend your subscription at any time, with or without cause.

6. Content Submission

6.1. Ownership and Rights

By submitting content, including but not limited to recipes, photos, comments, and other materials (collectively referred to as “Content”), to Mealspace, you retain ownership of your Content. However, by submitting Content to Mealspace, you grant Mealspace a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, perform, and display the Content in connection with the operation and promotion of the Application.

6.2. Originality and Permissions

You affirm that you are the original creator of the Content you submit to Mealspace or that you have obtained all necessary permissions, licenses, or consents to submit the Content. You agree not to submit Content that infringes upon the intellectual property rights, including but not limited to copyright, trademark, or patent rights, of others.

6.3. Moderation and Removal

Mealspace reserves the right, but is not obligated, to review, monitor, or remove Content at our sole discretion. We may remove Content that we believe violates these Terms, community guidelines, or applicable laws. This includes, but is not limited to, Content that is inappropriate, offensive, or in violation of intellectual property rights.

Mealspace may allow users to provide ratings and reviews for Content. By submitting Content to Mealspace, you acknowledge that your Content may be visible to other users of the Application. Mealspace is not responsible for the actions of other users who may view, share, or reproduce your Content.

NO CONSEQUENTIAL DAMAGES: In no event shall Mealspace, its directors, employees, partners, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, arising from your use of the Application or any content accessed through the Application.

b. LIMITATION OF LIABILITY: To the maximum extent permitted by applicable law, Mealspace’s total liability for any claim arising out of or relating to these Terms or the use of the Application shall not exceed the amount paid by you, if any, for accessing Mealspace during the twelve months preceding the date of the claim.

Mealspace may integrate with third-party services, and your use of such services is subject to their respective terms and policies. We are not responsible for the actions, content, or privacy practices of such third-party services.

10. Governing Law and Dispute Resolution

a. Negotiation: In the event of any dispute or claim arising out of or relating to these Terms, the parties agree to first attempt to negotiate a resolution informally.

b. Mediation: If the dispute cannot be resolved through negotiation, the parties agree to participate in non-binding mediation conducted by a neutral mediator. Each party will be responsible for its own costs associated with mediation.

c. Arbitration: If mediation is unsuccessful, any remaining disputes or claims shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Logan, Utah, unless the parties agree on a different location.

d. Class Action Waiver: Both parties agree that any arbitration or legal proceeding shall be limited to the dispute between them and shall be conducted on an individual basis. The parties waive the right to participate in any class or collective action, private attorney general action, or consolidated arbitration or legal proceeding of any nature.

e. Exceptions to Arbitration: Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

Any legal actions not subject to arbitration shall be brought in the state or federal courts located within the State of Utah, and the parties consent to the personal jurisdiction of such courts.
